When we say "us", "we", or "KharidoSa®", we are referring exclusively to Mamta Trading Company, the registered legal entity and sole operator of this website (www.kharidosa.com and www.kharidosa.in) and the KharidoSa® mobile application. All online transactions, invoicing, and shipping liabilities are handled entirely by this entity. Our verified legal credentials are: Proprietor: Mamta; GSTIN: 08BTSPM2917E1ZF; Udyam Registration (MSME): UDYAM-RJ-22-0085324; Business Registration Number (BRN): 8006580077000030. 1.2 Registered Trademark & Offline Partner: The brand name "KharidoSa®" is a registered trademark under the Trade Marks Act, 1999 (Trade Mark No: 5597376, Class 25), owned exclusively by the Proprietor, Mamta. Additionally, Vanity Undergarments (Est. 2007) serves strictly as our authorized offline experience center and logistics pickup point in Jodhpur. Vanity Undergarments does not process online payments or assume online tax liabilities.

1.3 Scope of Agreement & User Eligibility: These Terms and Conditions apply whenever you engage with us, whether you place an order via our direct websites, our mobile app, authorized online marketplaces, social media platforms, or B2B trade channels. By placing an order, you agree to be bound by these terms. To legally transact on our online store, you must be at least 18 years of age (or access the site under the supervision of a parent or legal guardian), possess a valid email address, maintain a delivery address in India, and be legally competent to enter into binding contracts under the Indian Contract Act, 1872.

1.4 Authorized Channels & Security Conduct: KharidoSa® sells its products directly through its authorized digital properties and approved trade channels. We do not endorse, control, or accept liability for products offered on unauthorized third-party websites, unverified physical stores, or counterfeit links. By using our platform, you agree not to negatively impact our business, restrict the access of other users, or deploy any software or device that compromises our site's security. We reserve the absolute right to bar access and terminate the accounts of any users who violate these security provisions.

1.5 Amendments to Terms: We reserve the right to amend, update, or modify these Terms at any time. The specific Terms you approve at the exact time of your purchase will legally govern that individual transaction. Any subsequent changes will be published in the latest version of this document on our website and will become effective immediately for any new purchases made after the publication date.

2. SECTION: DEFINITIONS

For the precise interpretation of this Agreement, the following terms shall bear the meanings explicitly assigned to them below. These definitions apply universally across our Terms, Privacy Policy, and all associated operational guidelines.

2.1 The Entity & The Platform: Throughout this document, the terms "KharidoSa®", "we", "us", or "our" refer interchangeably to the digital retail storefront wholly owned, traded, and operated by Mamta Trading Company. The term "Platform" encompasses the KharidoSa® primary website, authorized mobile applications, and any other official digital environments managed by us. "Services" refers comprehensively to all functionalities provided via the Platform, including but not limited to product cataloging, payment processing, local logistics coordination, and customer support. Our principal place of operational business for these Services is Mamta Trading Company, Near Silver Oak Garden, Main Road Nayapura, Jodhpur, Rajasthan - 342026 (Contact: +91-8829890901, care@kharidosa.com).

2.2 Users, Accounts, & Transactions: A "User" denotes any individual, browser, or legal entity that accesses, interacts with, or utilizes the Platform. An "Account" is the secure, registered digital profile created by a User to access expanded Services, track orders, and manage personal data. The term "Buyer" specifically refers to a User who successfully initiates and completes a purchase transaction on the Platform. Finally, "Products" constitutes the physical goods—including apparel, accessories, and associated merchandise - listed by KharidoSa® for sale and fulfillment through the Platform.

3. SECTION: USER ACCOUNTS & SECURITY OBLIGATIONS

3.1 Registration & Identity Verification: To access the full suite of KharidoSa® Services-including order tracking, priority checkout, and hyper-local delivery-Users are required to register a secure Account. Registration mandates the submission of accurate, current and complete personal data, including your full legal name, active email address, verified Indian delivery address, and a secure password. To safeguard our platform against fraudulent transactions, KharidoSa® enforces strict identity verification protocols. Your Account may be subject to mandatory verification via email confirmation, SMS One-Time Passwords (OTPs), or other compliance-driven security measures before activation is finalized.

3.2 Account Management & Authorized: Types Users bear absolute responsibility for maintaining the strict confidentiality of their Account credentials and for any activity executed under their profile. You must proactively monitor your Account and immediately update your information should your contact, billing, or delivery details change. KharidoSa® provisions standard Buyer Accounts for retail consumers and B2B Accounts for registered wholesale organizations. As a direct-to-consumer brand exclusively operated by Mamta Trading Company, we do not operate a multi-vendor marketplace; therefore, third-party "Seller" accounts are strictly prohibited.

3.3 Enforcement & Account Termination: To maintain the integrity of our digital ecosystem, KharidoSa® reserves the absolute and unassailable right to suspend, restrict, or permanently terminate any User Account at our sole discretion, without prior notice. Immediate termination protocols will be triggered if a User is discovered violating these Terms and Conditions, engaging in fraudulent, deceptive, or suspicious financial activities, supplying falsified registration data, or attempting to bypass our security infrastructure. We also reserve the right to purge Accounts that demonstrate prolonged inactivity or abandonment.

4. SECTION: PRODUCT INFORMATION & DISPLAY ACCURACY

4.1 Description Accuracy & Strict Condition Guarantee: At KharidoSa®, we are committed to providing transparent, accurate, and reliable product information to empower your purchasing decisions. We take meticulous care in detailing product features, fabric compositions, sizing specifications, and care instructions. Given the intimate and personal nature of our inventory—including innerwear, lingerie, and hosiery—we legally guarantee that every product listed on our platform is 100% genuine, factory-fresh, and completely unused. Under no circumstances do we stock, process, or sell second-hand or refurbished apparel.

4.2 Visual Representation & Digital Discrepancies: We employ high-fidelity imagery, multiple viewing angles, and comprehensive variation details (such as precise size charts and color arrays) to accurately represent our inventory. However, due to inherent differences in device screen calibrations, mobile display technologies, and studio lighting conditions, the actual color, texture, or detailing of the physical physical product may vary slightly from its digital representation. You acknowledge that such minor visual discrepancies are an industry standard in apparel e-commerce and do not constitute a product defect or a valid ground for a "not as described" dispute.

4.3 Pricing Transparency & Inventory Availability: All product prices displayed across the KharidoSa® platform are explicitly stated in Indian Rupees (INR) and are inclusive of all applicable statutory taxes (GST), unless otherwise noted. Additional charges, such as hyper-local delivery fees or standard shipping costs, along with any active promotional discounts, are calculated and displayed transparently prior to final checkout. While our digital catalog is continuously synchronized with our Jodhpur fulfillment center, product availability is dynamic and subject to change without prior notice. Should an ordered item become unexpectedly unavailable, Mamta Trading Company reserves the right to cancel the specific item and initiate an immediate, full refund for that portion of the order.

5. SECTION: PAYMENT TERMS & FINANCIAL COMPLIANCE

5.1 Accepted Digital Payment Methods: To ensure a secure and seamless checkout experience, KharidoSa® exclusively accepts digital, pre-paid payment methods. We currently support a wide array of options including Credit Cards (Visa, Mastercard, American Express), Debit Cards (Visa, Mastercard, Maestro, RuPay), Net Banking through leading Indian financial institutions, and the Unified Payments Interface (UPI). By initiating a transaction, you authorize the debiting of the total order value from your selected account at the moment of checkout. Please note that we strictly do not offer Cash on Delivery (COD) or Equated Monthly Installment (EMI) options at this time.

5.2 Transaction Security & Third-Party Gateways: All financial transactions on our Platform are processed via encrypted, industry-standard third-party payment gateways. While we employ rigorous security measures, KharidoSa® and Mamta Trading Company shall not be held liable for any technical errors, transaction failures, or security breaches arising directly from third-party payment processors or the User's banking institution. In the event of a "Failed Transaction" where funds are debited but no order confirmation is generated, the refund is typically handled by the respective bank or gateway provider within standard banking timelines.

5.3 Statutory Documentation & GST Invoicing: In compliance with Indian Tax Laws, a valid GST Tax Invoice will be generated for every successful transaction. A digital copy of this invoice will be dispatched to your registered email address upon order confirmation, and a physical copy will be included within your delivery package. By utilizing our Platform, you explicitly consent to our Payment, Privacy, and Shipping policies, acknowledging that these terms are governed by the prevailing laws and regulations of India.

6. SECTION: SHIPPING, FULFILLMENT & LOCAL DELIVERY

6.1 Order Processing & Standard Shipping: KharidoSa® is committed to the timely and efficient dispatch of your orders. All standard orders are typically processed and handed over to our logistics partners within 1 to 2 business days. While we strive to ensure delivery within 2 to 7 business days across India, you acknowledge that delivery timelines are estimates and may be subject to delays due to unforeseen logistical constraints, weather conditions, or public holidays. We currently offer Free Standard Shipping on all orders exceeding a total value of ₹599.

6.2 Jodhpur Hyper-Local "Express" Delivery: For our customers within Jodhpur, Rajasthan, we leverage our offline partner, Vanity Undergarments, as a primary fulfillment hub. Orders within specific Jodhpur pincodes may be eligible for same-day or next-day "Express Delivery" via hyper-local partners such as Rapido or Porter. Please note that express delivery availability is subject to real-time rider availability and may incur a specific surcharge based on distance, which will be calculated at checkout.

6.3 User Obligations & Delivery Failures: Successful delivery is contingent upon the User providing accurate and complete shipping information, including a valid mobile number and correct Pincode. KharidoSa® and Mamta Trading Company shall not be held liable for delivery failures, delays, or additional redirection charges resulting from inaccurate address data provided by the User. By utilizing our Platform, you acknowledge that our Shipping Policy governs all shipments and that repeated delivery failures due to User unavailability may result in order cancellation without a refund of shipping fees.

7. SECTION: RETURNS, REFUNDS & EXCHANGE POLICY

7.1 Return Eligibility & Refund Timelines: At KharidoSa®, we strive for absolute customer satisfaction. We offer a structured return policy for eligible, non-hygiene-sensitive products. To qualify for a return, the item must be in its original, unworn condition with all tags and packaging intact. For damaged, defective, or "not as described" products, exceptions are made provided the issue is reported within our stipulated timeframe. Once a return is approved and the product is received at our Jodhpur fulfillment center, refunds are typically processed back to the original payment method within 5 to 10 working days.

7.2 Direct Exchange Protocol: To prioritize speed and inventory accuracy, KharidoSa® does not offer a direct "one-for-one" exchange service. If you require a different size, color, or style, the most efficient procedure is to initiate a return for the original item for a full refund (subject to eligibility) and simultaneously place a new order for the desired product. This "Return-and-Reorder" model ensures your replacement item is reserved immediately and dispatched without the delays associated with traditional exchange processing.

7.3 Strict Non-Returnable Categories (Hygiene Policy): Due to stringent health and hygiene regulations in India, certain product categories are strictly non-returnable and non-exchangeable once delivered. This policy applies to all intimate apparel, including but not limited to: Socks, Hosiery, Undergarments, Lingerie, Shapewear, Handkerchiefs, Towels, and Hair Accessories. By purchasing these items, you acknowledge and agree that they cannot be returned for a refund or exchange unless a manufacturing defect is proven upon delivery. We maintain this policy to guarantee the factory-fresh quality and safety of every product sent to our customers.

8. SECTION: WARRANTY, LIABILITY & INDEMNIFICATION

8.1 Limited Product Warranty & Manufacturer Disclaimers: At KharidoSa®, we pride ourselves on sourcing high-quality, genuine apparel. We offer a limited warranty strictly against manufacturing defects for specific products, as detailed on individual product pages or original packaging. This warranty period commences from the date of delivery and does not cover damages resulting from misuse, neglect, improper laundering, or standard wear and tear. For branded third-party merchandise, KharidoSa® acts solely as a retailer; any extended warranties or performance guarantees are provided directly by the manufacturer and not by Mamta Trading Company.

8.2 Comprehensive Limitation of Liability: To the maximum extent permitted by Indian law, KharidoSa® and Mamta Trading Company shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use of our website, services, or products. This includes, but is not limited to, loss of profits, data, revenue, or goodwill. While we make every effort to ensure the accuracy and currency of our online store, we do not guarantee that product descriptions, measurements, or colors are entirely error-free or that the products will meet your specific personal expectations. Our total cumulative liability for any claim arising from an order placed on our platform shall be strictly limited to the total purchase price paid for that specific order.

8.3 Indemnification & Legal Governance: By using our platform, you agree to indemnify, defend, and hold harmless KharidoSa®, Mamta Trading Company, and its affiliates from any third-party claims, losses, or expenses resulting from your breach of these Terms or your misuse of our products and services. We are not responsible for delays or failures in delivery caused by unforeseen events beyond our reasonable control (Force Majeure). These limitations of liability and indemnification clauses are governed by the laws of India, and any disputes arising therefrom shall be subject to the exclusive jurisdiction of the competent courts in Jodhpur, Rajasthan.

9. SECTION: INTELLECTUAL PROPERTY & BRAND PROTECTION

9.1 Registered Trademark Authority: The brand name KharidoSa® and its associated logos are registered trademarks protected under the Trade Marks Act, 1999 (Registration No: 5597376). This trademark is registered under Class 25, specifically covering a wide range of apparel including innerwear, lingerie, socks, hosiery, and readymade garments. MAMTA, Jodhpur, is the sole and exclusive owner of this trademark. Any unauthorized use of the KharidoSa® name or logo for similar goods or services constitutes trademark infringement and will be met with immediate legal enforcement.

9.2 Proprietary Website Content: All intellectual property on the KharidoSa® platforms (www.kharidosa.com and www.kharidosa.in), including but not limited to proprietary text, product photography, custom graphics, logos, button icons, and software code, is the exclusive property of Mamta, Jodhpur. This content is protected by both Indian and international copyright and database right laws. You are strictly prohibited from "scraping," copying, reproducing, or redistributing any part of this website for commercial purposes without our express written consent.

9.3 User-Generated Content & Reviews: While you retain ownership of any reviews, comments, or photos you post on our Platform, by doing so, you grant KharidoSa® and Mamta Trading Company a non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, and display such content across our marketing channels. You represent that any content you post does not infringe on the intellectual property rights of any third party. We reserve the right to remove any user-generated content that we deem inappropriate, offensive, or in violation of our brand policies.

10. SECTION: USER CONDUCT & PLATFORM INTEGRITY

10.1 Standards of Expected Behavior: Users of the KharidoSa® Platform are required to interact in a spirit of good faith, honesty, and mutual respect. You agree to comply with all applicable local, state, and national laws of India while utilizing our Services. This includes providing consistently accurate and truthful information in your user profile, delivery coordinates, and communication with our support teams. You are expected to respect the operational dignity of KharidoSa® and the rights of all third-party service providers engaged in the fulfillment of your orders.

10.2 Prohibited Activities & Abuse of Service: Strictly prohibited activities include, but are not limited to: transmitting fraudulent, misleading, or defamatory information; engaging in deceptive behaviors such as phishing, spoofing, or payment manipulation; and infringing upon the intellectual property rights held by Mamta Trading Company or our brand partners. Furthermore, Users must not utilize the Platform for unauthorized commercial purposes, distribute malicious software, or engage in "Platform Abuse," which includes the systematic placement of bad-faith orders intended for mass cancellation or return (bracketing). Any form of harassment, hate speech, or discriminatory behavior directed toward our staff or other Users will result in immediate service restriction.

10.3 Enforcement, Consequences & Reporting: KharidoSa® reserves the absolute right to investigate any suspected breach of these conduct standards. At our sole discretion, we may suspend or permanently terminate User Accounts, remove offending content, or cancel pending orders linked to accounts displaying patterns of misconduct. Significant violations, particularly those involving financial fraud or cyber-crimes, will be reported to the relevant law enforcement authorities in Jodhpur or appropriate national agencies. Users are encouraged to report any observed misconduct or platform violations to our support team at care@kharidosa.com for immediate investigation.

11. SECTION: GRIEVANCE REDRESSAL MECHANISM

11.1 Commitment to Fair Resolution: KharidoSa® is committed to maintaining a fair, efficient, and transparent ecosystem for resolving customer concerns. This Grievance Redressal Policy applies to all Users of our Services and is designed to ensure that every complaint is handled with professional integrity in accordance with our Privacy and Refund policies. We aim to provide a structured pathway for dispute resolution that prioritizes customer satisfaction while adhering to the statutory requirements of the Information Technology Act.

11.2 The Two-Tier Redressal Process: Complaints should initially be directed to our Customer Support team via care@kharidosa.com, WhatsApp at +91-8829890901 or our official "Contact Us" portal. We will acknowledge receipt of your initial complaint within 48 hours and provide a substantive resolution or progress update within 3 to 7 working days. If the initial resolution is deemed unsatisfactory, you may escalate the matter to our formal Grievance Tier for an independent review.

11.3 Escalation to the Grievance Officer: In compliance with the Consumer Protection (E-Commerce) Rules, 2020, KharidoSa® has appointed a dedicated Grievance Officer to oversee unresolved disputes. You may escalate your complaint to Mr. Harshvardhan (Manager, Operations) exclusively via email at grievance@kharidosa.com. The Grievance Officer will review the escalated case and provide a final resolution within 10 working days. All valid complaints will be settled through appropriate remedies, including but not limited to refunds, product replacements, or service adjustments, ensuring a fair and timely conclusion to the dispute.

12. SECTION: AMENDMENTS & MODIFICATIONS TO TERMS

12.1 Right to Modify & Effective Timelines: KharidoSa® reserves the unilateral right to modify, update, or replace these Terms and Conditions at any time to reflect changes in our business practices, technological advancements, or statutory legal requirements. Any such modifications will become effective immediately upon their publication on the KharidoSa® website. The "Last Updated" date at the header of this document serves as the official notice of the most recent revision. It is the User’s sole responsibility to periodically review these Terms to remain informed of any changes.

12.2 Material Changes & User Notification: In the event of "Material Changes" defined as modifications that significantly impact your legal rights, payment obligations, or data privacy KharidoSa® will make reasonable efforts to notify registered Users via the email address associated with their Account. Such notifications will include a concise summary of the amendments and an explanation of their impact. We will provide a reasonable transition period for Users to review and accept these material updates before they are enforced against existing Accounts.

12.3 Continued Acceptance & Dispute Protocol: Your continued utilization of our Platform and Services following the posting of any changes constitutes your absolute and irrevocable acceptance of the modified Terms. If you find any modification unacceptable, your sole and exclusive remedy is to immediately cease all use of the Platform and request the deactivation of your Account. Any formal disagreements regarding newly implemented Terms must be submitted in writing to our Grievance Officer at grievance@kharidosa.com within 15 days of the effective date of the change.

13. SECTION: SEVERABILITY, GOVERNING LAW & NO WAIVER

13.1 Doctrine of Severability: In the event that any specific provision, clause, or sub-clause of these Terms and Conditions is determined by a competent court or legal authority to be invalid, illegal, or unenforceable, such determination shall not impact the validity of the remaining provisions. The invalid provision shall be deemed severed from this Agreement, while all other terms remain in full force and effect. Where possible, the severed provision will be replaced with a valid, enforceable clause that most closely reflects the original commercial and legal intent of Mamta Trading Company.

13.2 Governing Law & Exclusive Jodhpur Jurisdiction: These Terms and Conditions, and the entire legal relationship between the User and KharidoSa®, shall be governed by and construed in accordance with the Laws of India. By utilizing this Platform, you explicitly agree that any disputes, claims, or legal proceedings arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in Jodhpur, Rajasthan, India. You hereby waive any objections to such venue on the grounds of inconvenient forum or lack of personal jurisdiction.

13.3 Non-Waiver & Formal Consent: The failure or delay of KharidoSa® to exercise or enforce any right or provision of these Terms shall not constitute a "waiver" of such right or provision in the future. No waiver by Mamta Trading Company shall be deemed effective unless it is rendered in writing and officially signed by an authorized representative. By continuing to use the KharidoSa® Platform, you acknowledge that you have read, understood, and voluntarily agreed to these structural legal protections.

14. SECTION: STATUTORY COMPLIANCE & GOVERNING LAW

14.1 Applicable Regulatory Framework: KharidoSa® operates in strict accordance with the prevailing regulatory framework of the Republic of India. These Terms and Conditions, and any disputes arising therefrom, are governed by and construed under Indian laws, including but not limited to: The Indian Contract Act, 1872; The Information Technology Act, 2000; The Consumer Protection Act, 2019 (updating the 1986 Act); and the Competition Act, 2002. This means the laws of India will apply to all issues related to the use of KharidoSa®, and any disputes will be resolved through the Indian legal system.

14.2 Exclusive Jurisdiction & Venue: By utilizing this platform, you explicitly agree that any disputes or legal proceedings arising out of these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in Jodhpur, Rajasthan, India. Both parties agree to submit to the jurisdiction of the Jodhpur courts and hereby waive any objections to such venue on the grounds of an inconvenient forum or lack of personal jurisdiction.

14.3 Mutual Compliance Obligations: KharidoSa® and Mamta Trading Company commit to complying with all applicable laws and regulations governing e-commerce and retail operations. Similarly, by using the KharidoSa® platform, you agree to comply with all applicable local, state, and national laws and regulations in your interactions and transactions with us.

15. SECTION: JURISDICTION & SERVICE OF PROCESS

15.1 Exclusive Jodhpur Venue: As established in the preceding sections, the courts with primary and exclusive jurisdiction over any disputes arising from these Terms and Conditions are the District Court of Jodhpur, Rajasthan and the High Court of Rajasthan, Jodhpur Bench. Any legal proceedings, claims, or suits shall be filed and heard strictly within these Jodhpur-based courts. By using this Platform, you voluntarily submit to the personal jurisdiction of these courts and waive any objections based on an inconvenient forum.

15.2 Valid Service of Legal Process: To be considered legally valid, any process, summons, or formal legal notice intended for KharidoSa® or Mamta Trading Company must be served through one of the following authorized channels:

  • Physical Service: Hand delivery or Registered Post with Acknowledgement Due (AD) to our registered office: Near Silver Oak Garden, Main Road Nayapura, Jodhpur, Rajasthan - 342026.

  • Electronic Service: Official email communication directed to our dedicated compliance address at grievance@kharidosa.com. Service through social media, personal messaging apps, or unverified email addresses shall not be recognized as valid legal notice.

15.3 Statutory Rights of Consumers: Notwithstanding the exclusive jurisdiction mentioned above, KharidoSa® acknowledges the statutory rights of retail consumers under the Consumer Protection Act. For individual consumers, the courts in their respective district or state of residence may also hold jurisdiction as permitted by law, and consumers may choose to file complaints with the relevant consumer court or forum in their local jurisdiction.

16. SECTION: DISPUTE RESOLUTION MECHANISMS

16.1 Purpose & Scope of Resolution: KharidoSa® is committed to a "Customer-First" philosophy, providing a fair, efficient, and transparent process for resolving any disagreements arising from the use of our Services. This policy applies to all Users, including retail buyers and B2B organizations interacting with the KharidoSa® platform. Our goal is to resolve all issues amicably and professionally before escalating to formal legal proceedings.

16.2 Internal Resolution Channels: We provide a structured two-tier internal resolution system:

  • Tier 1: Customer Support: Our primary support team at care@kharidosa.com is empowered to resolve standard disputes related to orders, product quality and logistics.

  • Tier 2: Grievance Officer: For disputes involving policy interpretations, Terms & Conditions, or unresolved Tier 1 issues, the matter may be escalated to our Grievance Officer at grievance@kharidosa.com.

16.3 Mediation & Arbitration: In the event that a dispute remains unresolved through internal channels, KharidoSa® may, at its sole discretion, propose Mediation to reach a mutual settlement. If mediation is unsuccessful, the dispute may be referred to binding Arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Jodhpur, Rajasthan, and the proceedings shall be conducted in English or Hindi.

16.4 Resolution Timeline & User Obligations: Upon receiving a formal dispute notification, KharidoSa® will acknowledge the receipt within 48 hours. We will conduct a thorough investigation and provide a resolution or a formal status update within 5 to 7 working days. Users agree to cooperate fully with this process by providing required documentation, such as unboxing videos or payment receipts, and agree to act in good faith throughout the resolution period.

17. SECTION: FORMAL NOTICES & COMMUNICATION

17.1 Methods of Legal Notice: For any communication to be deemed a "Formal Notice" under these Terms, it must be delivered through one of the following verified channels: physical hand delivery to the party's registered office address, Registered Post with Acknowledgement Due (AD), or official email to the designated compliance address. For Mamta Trading Company, the designated email is grievance@kharidosa.com for the User, it is the email address associated with their registered Account.

17.2 Standards & Requirements: All formal notices must be drafted in English and must clearly specify the subject matter, the purpose of the communication, and the specific section of these Terms being referenced. To be valid, a notice must be signed by the initiating party or their legally authorized representative.

17.3 Deemed Receipt & Timelines: A notice shall be legally considered "received" based on the following timelines: on the actual date of signature for hand delivery; five (5) working days after the date of dispatch for Registered Post; or one (1) working day after the timestamp of sending for email communications. Either party may update their registered office or email address by providing a formal notice to the other party in accordance with these procedures.

17.4 General Customer Notifications: In addition to individual legal notices, KharidoSa® may provide general operational notices to its community by posting announcements on the Platform website, sending push notifications through the mobile app, or including printed notices within product shipments. It is the User’s responsibility to maintain accurate contact information and to check the Platform regularly for such updates.

18. SECTION: ASSIGNMENT, NOVATION & CHANGE OF CONTROL

18.1 Corporate Rights to Transfer: KharidoSa® and Mamta Trading Company reserve the absolute right to assign, transfer, or delegate any of our rights and obligations under these Terms and Conditions to any third party, affiliate, subsidiary, or successor entity. Such transfers may occur due to business expansion, corporate restructuring, strategic partnerships, or a change of control. In the event of such an assignment, KharidoSa® will notify Users through the Platform or registered email, and you shall continue to be bound by these Terms under the new entity.

18.2 Restrictions on User Assignment: The rights and obligations granted to you under these Terms are personal to you and may not be assigned, sub-licensed, or transferred to any other individual or entity without the express prior written consent of KharidoSa®. Any attempt to transfer your Account or your legal obligations under this Agreement without such consent shall be considered null, void, and a material breach of these Terms.

18.3 Novation & Change of Control: KharidoSa® may, at its discretion, "novate" this agreement by transferring all rights and liabilities to a new party. Upon such novation, the new party shall assume all our roles and responsibilities, and Mamta Trading Company shall be released from further obligations under the original terms. Similarly, in the event of a merger, acquisition, sale of assets, or insolvency, these Terms and Conditions shall remain in full force and effect, with the assignee or transferee assuming all rights and obligations of the KharidoSa® brand.

19. SECTION: ENTIRE AGREEMENT & LEGAL SUPREMACY

19.1 Comprehensive Nature of Agreement: These Terms and Conditions, alongside our Privacy Policy, Shipping Policy, and Return/Refund Policy, constitute the absolute and Entire Agreement between the User and KharidoSa® (Mamta Trading Company). This consolidated framework supersedes and replaces all prior or contemporaneous agreements, oral promises, marketing claims, or written communications between the parties. No representative of KharidoSa® has the authority to modify these terms orally; only the published version on this Platform shall be legally binding.

19.2 Rejection of External Terms: KharidoSa® operates strictly under the rules defined within this document. We explicitly reject any "terms and conditions" provided by a Buyer (such as those attached to a purchase order or a third-party invoice) unless they have been formally signed by the Proprietor of Mamta Trading Company in a separate legal contract. Our performance of a Service or delivery of a Product does not constitute acceptance of any external terms provided by the User.

19.3 Operational Continuity (Severability & Waiver): If any part of these Terms is found to be invalid or unenforceable by a court of law, that specific provision will be replaced by a valid clause that most closely matches the original business intent, while the remainder of the Agreement continues in full force. Furthermore, our failure to strictly enforce any section of these Terms at any given time does not mean we have "waived" our right to enforce that section (or any other section) in the future. Any valid waiver must be provided by us in a formal, signed written document.

20. SECTION: FORCE MAJEURE

20.1 Definition of Force Majeure: "Force Majeure" refers to any event, circumstance, or act of God that is beyond the reasonable control of KharidoSa® and Mamta Trading Company. This includes, but is not limited to: natural disasters (floods, earthquakes, hurricanes); outbreaks of war, riots, civil unrest or terrorist attacks; fires, explosions, or catastrophic accidents; government-mandated lockdowns, embargoes, or sudden regulatory changes; large-scale strikes or labor disputes; regional power outages and systemic internet or technical failures; and global or local epidemics, pandemics, or public health crises.

20.2 Operational Relief & Liability Shield: If KharidoSa® is unable to fulfill its contractual obligations—such as order processing, shipping, or delivery timelines due to a Force Majeure event, our performance shall be suspended for the duration of the event. In such cases, KharidoSa® will make reasonable efforts to notify affected customers and mitigate the impact of the disruption. You acknowledge and agree that KharidoSa® shall not be held liable for any damages, losses, or delays caused by such events, and customers shall not be entitled to terminate the Agreement or claim compensation for failures resulting from these uncontrollable circumstances.

20.3 Extended Disruption & Resolution: If a Force Majeure event persists for a continuous period exceeding 30 days, KharidoSa® reserves the right, at its sole discretion, to either terminate the affected orders with a full refund or further suspend performance for an additional 30-day period. We will maintain open lines of communication regarding the expected duration of the event, and Users are expected to cooperate with us in good faith to resolve any logistical hurdles caused by the disruption.

You further represent and warrant that you possess the legal authority and capacity to enter into this binding agreement under the Indian Contract Act, 1872.

22.2 Continued Use & Transactional Consent: The continued use of our Platform constitutes a recurring acceptance of these Terms. You agree to be legally bound by the most recent version of these Terms and Conditions for all past, present, and future interactions, transactions, and communications with KharidoSa® and Mamta Trading Company.

22.3 Acknowledgement of Dynamic Terms: You acknowledge that KharidoSa® reserves the right to modify these Terms and Conditions at any time to align with business updates or statutory changes. It is your responsibility to review this page regularly; your continued engagement with the Platform after any such modification signifies your irrevocable agreement to the revised terms.

22.4 Integration of Associated Policies: By using KharidoSa®, you acknowledge that you have read and understood our entire legal ecosystem.
